ŞİRKETLER HUKUKU ÖZELİNDE TÜZEL KİŞİLİK PERDESİNİN KALDIRILMASI TEORİSİ

Abstract
Tüzel kişilik perdesinin kaldırılması teorisi, tüzel kişiliğin sağladığı imkanların kötüye kullanılmasını önlemeye yönelik istisnai bir kurumdur. İlgili teori, tüzel kişiliğin bağımsızlığının, dürüstlük kuralı ve hakkın kötüye kullanılması yasağı çerçevesinde sınırlandırılabileceğini kabul eder. Başka bir ifadeyle, tüzel kişilik perdesi ardına gizlenerek hukuk düzeninin dolanılması veya üçüncü kişilerin zararına hareket edilmesi hâlinde, mahkemeler perdeyi kaldırarak fiilen sorumlu olan gerçek veya tüzel kişilere doğrudan ulaşabilir. Çalışmamızda, tüzel kişilik kavramı, bu kavramın işlevleri ve tüzel kişilik perdesinin kaldırılması teorisi incelenmiştir. Ayrıca dürüstlük kuralı, ayrılık ilkesi, güven ilkesi ve hakkın kötüye kullanılması yasağı gibi temel ilkelerle ilişkilendirilerek Türk hukukundaki yeri, uygulama koşulları ve sınırları değerlendirilmiştir. Nihayetinde, tüzel kişilik perdesinin kaldırılmasının hukuk güvenliği ve ticari itibar açısından doğurduğu sonuçlar tartışılarak, öğretide ve yargı kararlarında benimsenen yaklaşımlar ışığında çözüm önerileri sunulmuştur.

Abstract
The theory of lifting the veil of corporate identity is an exceptional institution designed to prevent the abuse of the principle of limited liability afforded by legal personality. This theory recognizes that the independence of a legal entity can be limited within the framework of the principle of good faith and the prohibition of abuse of rights. In other words, if the legal order is circumvented by concealing behind the veil of corporate identity or if actions are taken to the detriment of third parties, the courts can lift the veil and directly reach the individuals or legal entities actually responsible. This study examines the concept of legal personality, its functions, and the theory of lifting the veil of corporate identity. Furthermore, its place in Turkish law, its conditions of application, and its limits are evaluated in relation to fundamental principles such as the principle of good faith, the principle of separation, the principle of trust, and the prohibition of abuse of rights. Finally, the implications of lifting the veil of corporate identity for legal certainty and commercial reputation are discussed, and solutions are offered in light of approaches adopted in legal doctrine and judicial decisions.
