YENİLENEBİLİR ENERJİ ÜRETİM KOOPERATİFLERİNDE SONA ERME SEBEPLERİ

Abstract
Çalışmamızda önce, Kooperatifler Kanunu’nda (KoopK) yer alan, yenilenebilir enerji üretim kooperatiflerinin sona ermesine yol açabilecek düzenlemeler incelenmiştir. Sonrasında bu kooperatifler bakımından önemli olduğunu düşündüğümüz iki sona erme sebebi irdelenmiştir.
Özel olarak incelediğimiz ilk konu, amacına ulaşmanın imkansızlaşması nedeniyle sona erme (KoopK m. 81/1-b.7) ve haklı nedenle fesih kurumunun (TTK m. 531), elektrik enerjisi üretimine geçemeyen yenilenebilir enerji üretim kooperatiflerine uygulanıp uygulanamayacağıdır. Zira 2019 tarihli Elektrik Piyasasında Lisanssız Elektrik Üretim Yönetmeliği m. 29’un, kooperatifler için tüketimin ortak sayaçtan ölçülmesi şartını getirmesi, kooperatiflerin yenilenebilir enerji kaynaklarından elektrik üretimi gerçekleştirmesini zorlaştırmaktadır.
Yenilenebilir enerji üretim kooperatiflerinden bazıları, asgari ortak sayıyla kurulmuştur. Bu nedenle kooperatif ortak sayısının, asgari sayının altına düşmesinin sonuçları özel olarak incelenen ikinci konudur.

Abstract
Our study first examines the regulations in the Cooperatives Law (CL) that could lead to the dissolution of renewable energy production cooperatives. Subsequently, we investigate two reasons for dissolution that we consider important for these cooperatives.
The first issue we specifically examined is whether the provisions for termination due to the impossibility of achieving the objective (Article 81/1-b.7, CL) and termination for just cause (Article 531, Turkish Commercial Code) can be applied to renewable energy production cooperatives that are unable to commence electricity production. This is because Article 29 of the 2019 Regulation on Unlicensed Electricity Production in the Electricity Market, which requires cooperatives to measure consumption using a common meter, makes it difficult for cooperatives to generate electricity from renewable energy sources.
Some renewable energy production cooperatives are established with a minimum number of members. Therefore, the consequences of the number of cooperative members falling below the minimum number are a second issue that is specifically examined.
